Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Memorie website at mymemorie.ai and the Memorie SMS-based memory assistant (the "Service"), operated by Memorie Labs, LLC, an Ohio limited liability company ("Memorie," "we," "us," or "our"). By signing up for or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

The Service

Memorie lets you capture notes, reminders, and details by text message. Memorie uses artificial intelligence (AI) to organize what you send, find information in your saved content, answer your questions, and help create reminders. We may add, change, or remove features over time.

AI-generated answers and reminders can be incomplete, inaccurate, or late. Check important information before you rely on it. Memorie is a general-purpose memory and organization tool. It is not a medical, emergency, legal, financial, or safety service. Don't rely on Memorie as your only record or source for medication, allergy, emergency, or other information where an error, delay, or loss could cause harm. In an emergency, call 911.

Eligibility

Memorie is available only to adults in the United States. You must be at least 18 years old, or the age of majority where you live if that is older, and you must use a US mobile number. By using the Service, you confirm that you meet these requirements.

Free trial

New accounts start with a free trial of 30 days with access to every feature, including those in the Plus plan. You don't need to give payment details to start a trial, and a trial never turns into a paid plan on its own. We may limit how many free trials a person or phone number can have.

Plans, billing, and cancellation

After your trial, you can choose a paid plan: Core ($8.99 per month or $84 per year) or Plus ($17.99 per month or $168 per year). Current prices and what each plan includes are on our pricing page. Prices are in US dollars and exclude any applicable taxes. Payments are handled by our billing provider; we don't receive your full card number.

When you choose a paid plan, your subscription renews automatically at the end of each monthly or yearly billing period, and you authorize us to charge your payment method for each renewal until you cancel.

You can cancel at any time in the Memorie member portal. To get there, text PORTAL to your Memorie number and we'll text you a link. If you need help, email hello@mymemorie.ai with the phone number on your account. Cancelling stops your next renewal, and you keep access until the end of the period you've paid for. Cancelling doesn't delete your account or anything you saved.

• Monthly plans aren't pro-rated. We don't refund partial months.
• Yearly plans can get a pro-rated refund. We split what you paid for the year into 12 equal monthly amounts ($7 a month for Core at $84 per year, $14 a month for Plus at $168 per year, or less if you paid a promotional price). The month you're in counts as used, and we refund every month that hasn't started yet. For example, if you ask for a refund during the fourth month of a Core year, we refund the remaining 8 months: $56.
• Within 14 days of a yearly charge, whether it's your first year or a renewal, you can get a full refund of that charge.

To ask for a refund, email hello@mymemorie.ai. A refund ends your paid plan right away and your account becomes read-only (see below); nothing you saved is deleted. Refunds go back to the payment method you paid with and never add up to more than you paid for the period.

If we change the price of your plan, we'll tell you in advance and the new price will apply from your next billing period after the notice.

Read-only access

If your trial ends and you haven't chosen a plan, or a paid plan ends, your account becomes read-only. You can still ask Memorie about anything you saved, but new messages you send won't be saved until you choose a plan. We don't delete your content because a trial or plan ended.

Family sharing

The Plus plan lets you add up to three additional phone numbers to a group chat with Memorie. Everyone you add must be an adult who meets the eligibility rules above and who has agreed to receive texts from Memorie and to share information with the group.

Anything sent to the group is shared content: everyone in the group can see it and ask Memorie about it. Don't send something to the group unless you want every member to have it. The account holder is responsible for the group's use of the Service.

Beta members

Accounts created during the Memorie beta have been moved to the Plus plan at no charge for as long as you keep your account.

Referral rewards

Members can earn free Memorie Plus through the invite program at mymemorie.ai/invite. You can earn during your first 30 days, counted from when your account was created (or, if you were already on a free trial when the program started, for 30 days from that start), or during a window we open for you.

Step 1. Share Memorie on Instagram and confirm you posted it. You get 90 days of free Memorie Plus, once per member. We rely on your word and don't check the post. Your post must say that you get a reward (for example, "I get free Memorie if you join").

Step 2. When 5 friends who are new to Memorie sign up with your link and each send Memorie their first text within 30 days of signing up, you get 365 days of free Memorie Plus, once.

The most anyone can earn is 455 days.

Free time is added to your Memorie account. It extends a free trial, restores full access after a trial has ended, or moves a paid plan's next charge back. You don't need a card or a plan to get it. It has no cash value and can't be transferred.

We record visits to your link to show how far it reached and to prevent fraud. We may change or end the program for future earning; free time already added stays. If we find fraud or abuse, such as fake sign-ups or self-referrals, we may cancel free time that hasn't been added yet.

SMS terms

When you sign up, you consent to receive recurring automated text messages from Memorie, including a one-time code to verify your number, the reminders and answers you ask for, and account messages. Message and data rates may apply and message frequency varies. Reply STOP to unsubscribe at any time, or HELP for assistance. Carriers are not liable for delayed or undelivered messages.

Acceptable use

You agree not to use the Service to:

• Break the law or infringe the rights of others.
• Send unlawful, harmful, abusive, or fraudulent content.
• Attempt to disrupt, reverse engineer, or gain unauthorized access to the Service.

Your content

You own the content you send to Memorie ("Your Content"). You give us a limited, non-exclusive license to host, store, copy, transmit, and process Your Content only as needed to provide, maintain, secure, and support the Service for you, and as described in our Privacy Policy.

We don't use Your Content, in a form that identifies you, to train AI models. We may create de-identified information from how the Service is used (information that can no longer reasonably be linked to you) and use it to improve Memorie, as our Privacy Policy explains.

You may save information about other people, such as family members or friends. You're responsible for having an appropriate reason to share it with Memorie, and, if you send it to a family group, with the group.

Our service

Memorie and its licensors own the Service, including its software, design, trademarks, and technology, but not Your Content. We give you a personal, limited, non-transferable right to use the Service under these Terms. AI-generated answers may be similar to answers given to other people. If you send us feedback or suggestions, we may use them without restriction or payment to you; this doesn't give us any extra rights to Your Content.

Suspending or closing accounts

You can ask us to delete your account at any time by emailing hello@mymemorie.ai. Deleting your account permanently removes your access to Your Content, and we delete it as described in our Privacy Policy. We may suspend or close an account that breaks these Terms or puts the Service or other people at risk, and we'll tell you when we reasonably can.

No warranty

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied. It may contain errors, be interrupted, or lose data. Do not rely on the Service as your only record of critical information.

Limitation of liability

To the maximum extent permitted by law, Memorie will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, arising from your use of the Service. To the maximum extent permitted by law, Memorie's total liability for any claim arising out of or relating to the Service is limited to the greater of $100 or the amount you paid us for the Service in the 12 months before the event that led to the claim. Some states don't allow certain limits, so some of these may not apply to you.

Indemnity

You agree to cover Memorie's reasonable costs, including legal fees, from third-party claims that arise from your unlawful use of the Service, your violation of someone else's rights, or content you send without the rights or permission you need, except to the extent the claim results from our own wrongful conduct.

Governing law

These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-law rules. Subject to any consumer rights that can't be waived, disputes arising from these Terms or the Service will be resolved in the state or federal courts located in Ohio, and you and Memorie agree to their jurisdiction.

Changes to these Terms

We may update these Terms from time to time and will revise the "Last updated" date above when we do. For material changes, we'll give you notice in advance, for example by email or text. Changes that legally require your agreement won't apply to you until you agree. Otherwise, continuing to use the Service after a change takes effect means you accept the updated Terms.

General

If any part of these Terms can't be enforced, the rest stays in effect. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition, or sale of our business. These Terms, together with our Privacy Policy, are the entire agreement between you and Memorie about the Service.
